Technical Smoke and Mirrors: Why “Solvent” Doesn’t Always Mean Debt-Free

The Illusion of a Fresh Start

In the world of corporate restructuring, a “business rescue” is often celebrated as a finish line. However, as the ongoing saga of South African Airways (SAA) demonstrates, coming out of rescue is sometimes just the beginning of a new accounting narrative.

When SAA exited business rescue, it was regarded as solvent—not because the debt had vanished, but because R3.5 billion of legacy obligations had been moved into a “receivership,” a special purpose entity (SPE). By shifting the debt off the main books, the airline could appear clean for a strategic partner. But for the taxpayer, the liability remains a very real R70 billion reality.

1. Understanding the “Special Purpose” Trap

In technical financial reporting, an SPE or receivership can be a legitimate tool for ring-fencing risk. However, when used to support political ideology over business sense, it becomes a “technical trick” that hides the true cost of an ongoing concern.

As a leader or oversight member, you must ask:

  • Is the debt gone, or just moved? If a strategic partner refuses to take on legacy debt, the obligation still sits with the “parent”—in this case, the national budget.
  • Does the accounting reflect reality? If an entity is “solvent” only because its liabilities are parked elsewhere, the economic value is an illusion.
  • What is the consolidated truth? Accounting standards (like IFRS 10 or GRAP 35) exist to ensure that these “hidden” entities are brought back into the light of the consolidated whole.

2. Stewardship Over Ideology

Stewardship requires putting technical truth ahead of convenient narratives. To date, taxpayers have funded over R70 billion in bailouts for SAA. When accounting is used to mask these figures rather than manage them, the “magic” eventually fades, leaving behind a massive fiscal deficit.

Understanding the mechanics of accounting is not just for the finance team; it is a critical skill for any decision-maker who wants to understand the world as it really is.
