The King Maker: When Accounting Entries Mask Operational Reality

Paper Profits vs. Mandate Performance

In 2022, Transnet released financial results that seemed to signal a massive turnaround: a R5 billion profit following a R9 billion loss the previous year. On the surface, it appeared the SOE was back on track. However, a deeper look into the “King Maker”-the accounting-revealed a different story.

The swing from loss to profit wasn’t driven by a sudden surge in freight logistics or port efficiency. Instead, it was fueled by a R11 billion revaluation entry on its property portfolio.

Understanding the “Propertynet” Shift

In essence, the entry was a simple accounting adjustment:

  • Debit: Buildings
  • Credit: Fair value adjustment in profit/loss

While technically compliant with reporting standards, the auditors dually emphasized the high level of estimation uncertainty regarding these valuations. Note 10 of the financial statements detailed the assumptions required to reach that R11 billion figure.

The result? An SOE whose “improved performance” came from non-core assets (industrial and commercial properties) and had almost nothing to do with its primary mandate: rail, port, and pipe freight infrastructure.

Three Strategic Lessons for Oversight Structures

For boards and audit committees, the Transnet case highlights three critical questions to ask during a results presentation:

  1. Core vs. Non-Core: Is our profit driven by our primary mandate, or by one-off accounting estimates?
  2. The Quality of Earnings: What is the level of estimation uncertainty behind our fair value adjustments?
  3. Mandate Alignment: If our value is sitting in non-core property rather than core infrastructure, is our strategy still aligned with our purpose?
